Terms and Conditions
Last Updated: May 18, 2026Welcome to KLARO Solutions, Inc. ("KLARO," "Company," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of the KLARO platform, including any websites, applications, features, and services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
1. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement. If you are registering on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms, and all references to "you" include that entity.
2. Account Registration
To access the Service, you must create an account. You agree to:
- Provide accurate, current, and complete registration information
- Maintain and promptly update your information to keep it accurate
- Keep your login credentials strictly confidential
- Notify us immediately at info@meetklaro.com of any unauthorized use of your account or any security breach
You are solely responsible for all activities that occur under your account, whether or not authorized by you.
3. Data Collection, Processing, and Business Intelligence
This section is critical. Please read it carefully.
By using the Service, you explicitly acknowledge and agree that:
- KLARO collects and permanently stores all data you submit to or ingest into the platform, including but not limited to: account information, enterprise details (including business location), team member names and roles, product and supply catalogues, sales logbook entries, inventory records, stock-on-hand figures, uploaded images, extracted data, fixed expense records, and supplier information such as lead times.
- Uploaded images (such as tally sheets, handwritten logbooks, order receipts, and screenshots) are transmitted to trusted third-party AI service providers for optical character recognition (OCR) processing and data extraction. These providers operate under data processing agreements with KLARO and are prohibited from using your data for any purpose beyond providing the contracted service.
- Data extracted from your images—including sales entries, quantities, unit prices, inventory inflows, and supply costs—is stored in the KLARO database and used to generate your dashboard, analytics reports, and inventory management outputs.
- All data collected and processed by KLARO is used solely for your own business intelligence and operational management within the platform. KLARO will never sell, distribute, rent, or otherwise share your business data or personal information with any third party for commercial purposes without your explicit prior consent, except as required by applicable law or as described in our Privacy Policy.
4. Acceptable Use
You agree to use KLARO only for lawful business purposes and in full compliance with applicable laws and regulations. You must not:
- Use the Service for fraudulent, deceptive, illegal, or misleading activities
- Reverse engineer, decompile, copy, or exploit any part of the platform or its underlying technology
- Interfere with, disrupt, or attempt to gain unauthorized access to the platform’s systems, servers, or networks
- Upload malicious code, viruses, ransomware, spyware, or any harmful content
- Scrape, harvest, or systematically extract data from the platform without prior written authorization
- Impersonate another person, business, or entity
We reserve the right to suspend or permanently terminate access to any account found to be in violation of these rules, at our sole discretion and without prior notice.
5. AI-Assisted Extraction and Accuracy
KLARO employs AI-assisted optical character recognition (OCR) to extract data from uploaded images. You acknowledge and agree that:
- OCR and AI extraction results are probabilistic approximations and may contain errors, omissions, or misinterpretations
- KLARO does not guarantee the accuracy, completeness, or fitness of any extracted data for any particular purpose
- You are solely responsible for reviewing, verifying, correcting, and approving all extracted data before relying on it for business decisions, financial reporting, or any other purpose
- KLARO is not liable for any losses, damages, or consequences arising from errors in AI-extracted data, including but not limited to incorrect inventory counts, inaccurate sales figures, or miscalculated costs
6. Subscription Plans and Usage Limits
The Service is offered under tiered subscription plans (Trial, Starter, Pro, and Enterprise). Each plan is subject to usage limits, including monthly OCR scan quotas. You agree that:
- Subscription fees, where applicable, are billed in advance and are non-refundable unless otherwise stated in writing
- Prices and plan features may be modified with reasonable prior notice
- Exceeding your plan’s scan quota may result in suspension of the scanning feature until the next billing period or an upgrade to a higher plan
- Failure to maintain payment for a paid subscription may result in downgrade, suspension, or termination of access
Specific pricing, scan limits, and billing terms are published on the platform and provided at the point of subscription.
7. Intellectual Property
All content, software, source code, algorithms, logos, trademarks, trade names, designs, and documentation related to KLARO are owned by or licensed to the Company and are protected under Philippine and international intellectual property laws, including Republic Act No. 8293 (Intellectual Property Code of the Philippines). You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for its intended business purpose. You may not reproduce, distribute, sublicense, sell, or create derivative works from any part of the platform without prior written permission from KLARO.
8. User Content and License
You retain full ownership of all data, images, records, and content you submit to the platform ("User Content"). By using the Service, you grant KLARO a limited, non-exclusive, royalty-free license to store, process, and display your User Content solely as necessary to operate, maintain, and improve the Service for your benefit. This license does not give KLARO the right to use your data for advertising, to train AI models, or to share it with third parties beyond what is described in these Terms and our Privacy Policy.
9. Account Termination and Data Deletion
You may stop using the Service at any time. We may suspend or terminate your account if you breach these Terms, if required by law, or if the Service is discontinued.
Important: Deletion of your account results in the permanent and irreversible removal of all associated data, including your enterprise profile, product and supply catalogues, sales logbooks, inventory records, uploaded images, and all extracted data. This action cannot be undone. We strongly recommend exporting any data you wish to retain before initiating account deletion. KLARO does not maintain post-deletion backups of user data.
10. Service Availability
We strive to maintain KLARO as an available, reliable, and high-performing platform. However, we do not guarantee uninterrupted or error-free service. We may, at any time:
- Perform scheduled or emergency maintenance
- Modify, add, or discontinue features
- Temporarily suspend access due to technical, security, or legal requirements
We will endeavor to provide advance notice of planned maintenance where reasonably practicable.
11. Limitation of Liability
To the fullest extent permitted by applicable law, KLARO, its founders, officers, employees, and partners shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages of any nature
- Loss of profits, revenue, business opportunities, or goodwill
- Loss or corruption of data, including data lost as a result of account termination or system failure
- Errors, inaccuracies, or omissions in AI-extracted or OCR-processed data
- Business decisions made in reliance on data generated by the Service
- Unauthorized access to your account or data resulting from your failure to maintain credential security
- Service interruptions, downtime, or technical failures
Your sole remedy for dissatisfaction with the Service is to discontinue use. In all cases, KLARO’s total aggregate liability shall not exceed the total fees paid by you to KLARO in the three (3) months preceding the event giving rise to the claim.
12. Indemnification
You agree to defend, indemnify, and hold harmless KLARO and its affiliates, founders, officers, employees, agents, and partners from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:
- Your use of or access to the Service
- Any breach of these Terms or any representation or warranty made by you
- Your violation of any applicable law, regulation, or third-party right
- The inaccuracy, illegality, or unauthorized nature of any data you submit to the platform
13. Data Privacy
Your use of the Service is also governed by our Privacy Policy, which explains in full how we collect, use, store, disclose, and protect your personal and business data in compliance with the Philippine Data Privacy Act of 2012 (Republic Act No. 10173) and its Implementing Rules and Regulations.
14. Changes to Terms
We may update these Terms at any time. When we make material changes, we will notify you through the Service or via your registered email address. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.
15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to conflict-of-law principles. Any disputes arising out of or in connection with these Terms or the Service shall be submitted to the exclusive jurisdiction of the proper courts of the Philippines.
